Once accepted they will became of contract ("contract") between you and Meridian Enterprises Pte Limited, a company registered under the laws of Singapore Companies Act, and has it�s its registered office at Republic Plaza, Raffles Place Singapore.
These terms of service govern your access to and use of Ziddu ("we" or "our" or "us") services which includes the hosted cloud storage solution for cloud storage, sharing and processing of files, data, text, audio, video, images or other material content (hereinafter called as "content"). The software provided or made available by us and the website www.ziddu.com or other applications owned or operated by us.
By clicking the "accept" button, registering an account or using any of the services you are agreeing to the acceptance of these terms. You are also agreeing to be bound by and party to this binding contract. If you do not agree with these terms or do not have the authority to accept them on behalf of your organization, you must not register for an account with us and must not use the services.
Please note that to the maximum extent permitted by applicable laws and except to set out in these terms, Ziddu does not provide warranties for the services. You may please print a copy of these terms or save them to your computer for future references:
1. If you are using the services on behalf of an organization, you are agreeing to these terms for that organization and promising that you have the authority to bind that organization to these terms. In that case, "you" and "your" will refer to the organization.You may use the services only in compliance with these terms. You may use the services only if you have the power to form a contract with Ziddu and are not barred under any applicable laws from doing so. The services may continue to change over time as we refine and add more features. We may stop, suspend, or modify the services at any time without prior notice to you. We may also remove any content from our services at our discretion.
2. Your Content, Privacy and Sharing.
Except for the material that we license to you, we don't claim ownership of any Content that is transmitted, stored, or processed in your account(s) and such Content is your sole responsibility as the person who created the Content or introduced it into the services. We also don't control, verify, or endorse the Content that you and others make available on the service.
We provide functions that allow you to control who may access your Content. If you enable the features that allow you to share the Content with others, anyone you've shared the content with (including the general public, in certain circumstances) may have access to your Content.
You hereby grant Ziddu and its contractors the right, to use, modify, adapt, reproduce, distribute, display and disclose the Content posted on the services Solely to the extent necessarily to provide the Services or as otherwise permitted by these Terms.
You represent and warrant that: you have all the rights in the Content necessary for you to use the services and to grant the rights in this Section. And the storage, use or transmission of the Content doesn't breach any law or these Terms.
You will be solely responsible for the nature, quality and accuracy of the Content and ensure that the Content (including the storage or transmission thereof) complies with these Terms and all applicable laws, and regulations.
You will promptly handle and resolve any notices and claims relating to the Content, including any notices sent to you by any person claiming that any Content violates any person's rights, such as take-down notices pursuant to the US Digital Millennium Copyright Act (or any similar legislation around the world) and any other notices; and maintain appropriate security, protection and backup copies of the Content, which may include, your use of additional encryption technology to protect the Content from unauthorized access.
Ziddu shall use reasonable skill and due care in providing the Services, but Ziddu does not guarantee or promise that any Content you may store or access through the Services will not be subject to inadvertent damage, temporary unavailability, corruption or loss. To the maximum extent permitted by law and except as set out in these Terms, Ziddu will have no liability of any kind as a result of the deletion, correction, destruction of, damage to, loss or failure to store, access or encrypt any content.
You must immediately notify Ziddu in writing of any unauthorized use of any content, any account or the services that comes to your attention. In the event of any such unauthorized use by any third party that obtained access through you, you will take all steps necessary to terminate such unauthorized use. You will provide Ziddu with such cooperation and assistance related to any such unauthorized use as Ziddu may reasonably request.
The services provide features that allow you to share your content with others or to make it public. There are many things that users may do with that content. Please consider carefully what you choose to share or make public andZiddu has no responsibility for that activity.
3.1. Intellectual property rights of others may protect files and other content in the services. Please do not copy, upload, download, or share files unless you have the right to do so. You will be fully responsible and liable for what you copy, share, upload, download or otherwise use while using the services and not the Ziddu. You must not upload spyware or any other malicious software to the service. You are solely responsible for maintaining and protecting all of your content. Ziddu will not be liable for any loss or corruption of your content, or for any costs or expenses associated with backing up or restoring any of your content.
3.2. If your contact information or other information related to your account changes, you must notify us promptly and keep your information current. The services are not intended for use by you if you are under 18 years of age. By agreeing to these Terms, you are representing to us that you are over 18.
4. Account Security
You are responsible for safeguarding the password that you use to access the Services and you agree not to disclose your password to any third party. You are responsible for any activity using your account, whether or not you authorized that activity. You should immediately notify Ziddu of any unauthorized use of your account. You acknowledge that if you wish to protect your transmission of data or files to Ziddu, it is your responsibility to use a secure encrypted connection to communicate with the Services.
5.Software and Updates
Some use of our Service requires you to download a client software package ("Software"). Ziddu hereby grants you a limited, nonexclusive, nontransferable, revocable license to use the Software, solely to access the Services. Your license to use the Software is automatically revoked if you violate these Terms in a manner that implicates our intellectual property rights. We hereby reserve all rights not expressly granted in these Terms. You must not reverse engineer or decompile the Software, nor attempt to do so, nor assist anyone else to do so. Our Services may update the Software on your device automatically when a new version is available.
6. Right of Property
These terms do not grant you any right, title, or interest in the Services, Software, or the content in the Services. While we appreciate it when users send us feedback, please be aware that we may use any feedback, comments, or suggestions you send us or post in our forums without any obligation to you. The Software and other technology we use to provide the Services are protected by copyright, trademark, and other laws of both the Singapore and foreign countries. These Terms do not grant you any rights to use the Ziddu trademarks, logos, domain names, or other features.
7.Copyright Complaints and Removal Policy Ziddu does not tolerate content that appears to infringe any copyright or other intellectual property rights or otherwise breaches these Terms and will respond to notices of alleged copyright infringement that comply with the law and are properly provided to us. We reserve the right to delete or disable Content alleged to breach these Terms and to terminate repeat infringers. 8. Third Party Services and Content
All transactions you make using the Services are between the relevant transacting parties only. The Services may contain features and functionalities linking you or providing you with certain functionality and access to third party content, including Web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole. You acknowledge and agree that we are not responsible for such content or services. We may also provide some content to you as part of the Services. However, Ziddu is not an agent of any transacting party, nor are we a direct party in any such transaction. Any such activities, and any terms associated with such activities, are solely between you and the applicable third-party. Similarly, we are not responsible for any third party content you access with the Services, and you irrevocably waive any claim against us with respect to such sites and third-party content. Ziddu shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third-party. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You are solely responsible for your dealings with any third party related to the Services, including the delivery of and payment for goods and services. Should you have any problems resulting from your use of any third party services, or should you suffer data loss or other losses as a result of problems with any of your other service providers or any third-party services, we will not be responsible unless the problem was the direct result of our breaches.
9. Suspensions and Termination
We reserve the right to temporarily suspend or terminate your access to the Service at any time in our sole discretion, without incurring liability of any kind to you for: (i) your actual or suspected violation of these Terms;, your use of the Services in a manner that may cause Ziddu to have legal liability or disrupt others' use of the Services; the suspicion or detection of any malicious code, virus or other harmful code by you or in your account; scheduled downtime and recurring downtime; use of excessive storage capacity or bandwidth; unplanned technical problems and outages; or if you have ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of assets, or become the subject of any bankruptcy, re-organization, liquidation, dissolution or similar proceeding. If, in Ziddu's determination, the suspension might be indefinite and/or Ziddu has elected to terminate your access to the Services, Ziddu will use commercially reasonable efforts to notify you through the Services. We may also terminate the Contract for any reason by providing you 30 days advance notice.
You acknowledge that if your access to the Services is suspended or terminated, you may no longer have access to the Content that is stored with the Services.
If there is any suspicious activity, Ziddu has right to cancel their earnings or even terminate the account.
Upon termination by Ziddu, for reasons other than cause, or at your direction, you may request access to your Content, which we will make available for an additional fee. You must make such request within thirty (30) days following termination. Otherwise, any Content you have stored with the Services may not be retrievable, and we will have no obligation to maintain any data stored in your account. In addition to other termination provisions, if your account it not currently subject to a paid subscription plan with us, we at our discretion may terminate your account if you do not engage in any activity in your account within thirty (30) days after becoming a Registered User; or you do not engage in any activity in your account for any period of fifty (50) consecutive days. In the event of such termination, any Content you may have stored will be lost. If you have paid to use the Services and we terminate the Services without cause or materially downgrade its functionality, we will provide you with a pro rata refund of any pre-payment.
11. Updates and changes to the service
Ziddu reserves the right, in its sole discretion, to make necessary unscheduled deployments of changes, updates or enhancements to the Services at any time. We may add or remove functionalities or features, and we may suspend or stop a Services altogether. Ziddu may post on the Site and/or will send an email to the primary address associated with your account to provide notice of any material changes to the Services. It is your responsibility to check your email address and/or primary email address registered with Ziddu for any such notices. You agree that Ziddu shall not be liable to you or any third party for any modification, cessation or discontinuation of the Services.
If you have paid to use the Services and we terminate the Services without cause or materially downgrade its functionality, we will provide you with a pro rata refund of any pre-payment, as we determine appropriate.
1. Ziddu pays its users for unique downloads, unique news page views and using its App. Ziddu will not disclose how much it pays to a unique download or a unique news page view. It all depends on various factors like demography, device, frequency etc.
2. All your earnings will be credited to Ziddu wallet.
3. Ziddu allows you to store your files/content free of charge. However Ziddu may delete the file(s)/content in 90 days if the file does not attract any downloads.
13. Ziddu Wallet
By default Ziddu will provide you BitCoin Wallet and earnings will be credited in Ziddu Wallet on user withdrawal request. Users can transfer BitCoins to others by using Email.
1. You will get the e-Commerce voucher/Mobile Recharge/Game Cards within two business days.
2. Nominal transaction fee will be applicable for each transaction.
14.Our Service is Available on "AS-IS WHERE IS" Basis
Though we want to provide a great service, there are certain things about the service we can't promise. For example, THE SERVICES AND SOFTWARE ARE PROVIDED 'AS IS', AT YOUR OWN RISK, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. (We are not shouting- it's just that these disclaimers are really important, so we want to highlight them). Ziddu will have no responsibility for any harm to your computer system, loss or corruption of data, or other harm that results from your access to or use of the Services or Software. Some states do not allow the types of disclaimers in this paragraph, so they may not apply to you.
15.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZIDDU, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT ZIDDU HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES MORE THAN THE GREATER OF $10 OR THE AMOUNTS PAID BY YOU TO ZIDDU FOR THE PAST THREE MONTHS OF THE SERVICES IN QUESTION. Some states do not allow the types of limitations in this paragraph, so they may not apply to you.
To the extent permitted by law, you agree, at your expense, to indemnify, defend and hold Ziddu its affiliates, officers and employees harmless against any cost, loss, damage, or other liability arising from any third party demand or claim that any Content provided by you, or your use of the Services (including all actions taken under your account), in breach of these Terms: (a) infringes a third party's intellectual property right, including but without limitation a registered patent, registered trademark, or copyright of a third party, or misappropriates a trade secret (to the extent that such misappropriation is not the result of Ziddu's actions); or, (b) violates applicable law or these Terms. Ziddu will reasonably notify you of any such claim or demand that is subject to your indemnification obligation.
We may revise these Terms from time to time and the most current version will always be posted on our website. If a revision, in our sole discretion, is material we will notify you (for example via email to the email address associated with your account). Other changes may be posted to our blog or terms page, so please check those pages regularly. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Services.
18.Governing Law, Location for resolving disputes
THESE TERMS AND THE USE OF THE SERVICES AND SOFTWARE WILL BE GOVERNED BY CALIFORNIA LAW EXCEPT FOR ITS CONFLICTS OF LAWS PRINCIPLES. ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES OR SOFTWARE MUST BE LITIGATED EXCLUSIVELY IN THE COURTS OF SINGAPORE, AND BOTH PARTIES CONSENT TO VENUE AND PERSONAL JURISDICTION THERE. These Terms constitute the entire and exclusive agreement between you and Ziddu with respect to the Services, and supersede and replace any other agreements, terms and conditions applicable to the Services. These Terms create no third party beneficiary rights. Ziddu's failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable the remaining provisions of the Agreement will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights in these Terms, and any such attempt is void, but Ziddu may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services. Ziddu and you are not legal partners or agents; instead, our relationship is that of independent contractors.
19. Ziddu Desktop App
Ziddu Desktop App uses user's computing power and generates hashpower. This will not disturb the user activity. However ziddu app uses computer's idle computing time!
Users mining hash power is sold to our partner site idlecomputing.com and user get paid according to our partner's stats.

a.Severability; Entire Agreement These Terms apply to the maximum extent permitted by relevant law. If a court holds that we cannot enforce a part of these Terms as written, you and we will replace those terms with similar terms to the extent enforceable under the relevant law, but the rest of this Terms will remain in effect. It supersedes any prior representations, understandings, contract or oral or written statements regarding your use of the Service or the subject matter of these Terms. Nothing in this shall limit or exclude any liability for fraud.
b. Assignment and transfer We may assign, transfer, or otherwise dispose our rights and obligations under this Contract, in whole or in part, at any time without notice. You may not assign this contract or transfer any rights to use the Services.
c. Independent Contractors; No third-party beneficiaries Ziddu and you are not legal partners or agents; instead, our relationship is that of independent contractors. This contract is solely for your and our benefit. It is not for the benefit of any other person, except for permitted successors.
d.Waiver The failure of either party to insist upon or enforce strict performance of any of the provisions of these Terms or to exercise any rights or remedies under these Terms will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision, right or remedy in that or any other instance; rather, the same will remain in full force and effect.
e. Severability If any of the provisions of these Terms are held to be in violation of applicable law, void, or unenforceable in any court of competent and appropriate jurisdiction, then such provisions are herewith waived to the extent necessary for these Terms to be otherwise enforceable in such jurisdiction.
f. Ziddu has right to change Terms and conditions at any time.
